Article 1 (Purpose)

General Provisions

1 Japan Alternative Data Accelerator Association (hereinafter referred to as "the Association"), as a leader in the use of alternative data in the age of digitalization and the generation of new data, promotes the creation of an ecosystem in which all relevant parties can interact and learn, and in which the use of trusted data is promoted. The purpose of the activity is to contribute to the sustainable growth of the Japanese economy.

2 In order to achieve the purpose of the activity described in the preceding paragraph, the Association shall invite corporations and other organizations to become members and form a membership organization.


Article 2 (Scope of this Agreement)

1 This agreement applies to corporations and organizations that have become members as defined in Article 5 of the Association's Articles of Incorporation (hereinafter referred to as "members").


Article 3 (Membership Types and Qualifications)

1 The Association shall have the following three types of members, and regular members and regular start-up members shall be considered members under the Law Concerning General Incorporated Associations and General Incorporated Foundations.

(1) Regular Membership: Corporations and organizations that agree with the objectives of the Association.

(2) Regular Membership (Start-up): Corporations and organizations with 49 or fewer employees that agree with the objectives of the Association.

(3) Supporting Membership: Non-profit organizations, research institutions, educational institutions, and local governments that agree with the objectives of the Association.


Article 4 (Admission)

1 A corporation or organization who wishes to become a member of the Association shall agree with the objectives of the activities of the Association, apply for membership in accordance with the prescribed application procedures, and become a member after obtaining the approval of the Board of Directors.

2 If membership is confirmed, activities are permitted from one month prior to the month of membership.


Article 5 (Disapproval of Membership)

1 In the event that any of the following circumstances apply, the Association may not approve the membership.

(1) In the event that there is any false statement, error or omission in the information declared in the application for membership

(2) In the event that the membership has been revoked by the Association in the past

(3) In the event that a member is an anti-social group or individual, or a person equivalent to such a group or individual (hereinafter referred to as "Anti-Social Forces")

(4) In the event that the Association deems that there are other reasons that make it inappropriate to conclude the Membership Agreement.


Article 6 (Term of Validity and Renewal)

1 The membership shall be valid until the first March 31 that comes after the day on which a corporation or organization becomes a member in accordance with the provisions of Article 4 (hereinafter referred to as "first year"), but may be renewed if the annual membership fee is paid by the due date in accordance with Article 7 according to the renewal procedures prescribed by the Association.

2 The period of validity of the membership after renewal shall be from April 1 to March 31 of the following year, and the same shall apply thereafter. In the event that the membership expires without renewal, the membership shall automatically expire.

3 Supporting Membership shall be indefinite and shall not be lost unless the member resigns its membership in accordance with Article 10 or loses its membership in accordance with Article 11.


Article 7 (Membership Fee)

1 The Members shall pay the admission fee and the annual membership fee (hereinafter collectively referred to as "membership fee") as provided in this Article.

2 The annual membership fee shall be paid by the due date set by the Association.

3 The amount of the membership fee shall be as follows

(1) Admission fee (applicable regardless of the time of admission)

(2) Annual membership fee

*The amount of Second Half Membership is the amount for the first year of membership when the date of receipt by the Association of the application form submitted by the applicant for membership falls between the 1st September and the 31st March.

4 The annual membership fee may be reduced with the approval of the Board of Directors, taking into consideration the period from the date of admission to the end of the fiscal year to which the said date belongs.

5 Membership fee shall be paid by bank transfer to an account at a financial institution designated by the Association.

6 Membership fee, etc. already paid by a member shall not be refunded for any reason whatsoever.


Article 8 (Notification of Changes)

1 In the event of a change in the matters reported to the Association, such as name, address, or contact information, a member shall promptly complete the prescribed procedures for change.

2 The Association shall not be held responsible for any disadvantage caused by a member's failure to follow the procedures for change set out in the preceding paragraph, unless such failure is due to willful misconduct or gross negligence.


Article 9 (Change of Membership Type)

1 A member may change its membership type with the approval of the Board of Directors.


Article 10 (Withdrawal from membership)

1 A member may withdraw from the Association by giving notice of withdrawal to the Association in the manner prescribed by the Association at least one month prior to the date on which the member intends to withdraw from the Association.


Article 11 (Loss of Membership)

1 The Association may terminate the membership agreement with a member, disqualify the member from membership, or expel the member if it finds that the member falls under any of the following circumstances.

(1) In the event that the Association finds that the member's conduct is detrimental to the dignity of membership

(2) In the event that the member violates this membership agreement, any other terms set forth by the Association, or any agreement reached between the member and the Association

(3) In the event that the member fails to notify the Association of any matter that should have been notified to the Association in accordance with this agreement or any other agreement between the member and the Association, or provides false notification

(4) In the event that the member uses copyrights, trademarks, or other intellectual property rights held by the Association without the Association's prior consent

(5) In the event that the member is found to have slandered or defamed an interested party of the Association

(6) In the event that the member interferes with the business activities of the Association or otherwise adversely affects the business activities of the Association

(7) In case of violation of laws and regulations or public order and morals

(8) In the event of suspension of payment or inability to pay

(9) In the event that the member is recognized as an Anti-Social Force or a related party thereof

(10) In the event that the member resolves to dissolve (including dissolution by law)

(11) In the event that the Association finds that there is an excessive amount of business or other nuisance to other members who have met through the Association

(12) In the event that the Association finds that the member has participated in a project that is incompatible with the objectives of the Association

(13) In the event that the member fails to pay the membership fee for more than three months after being reminded. In this case, the member is not exempted from the obligation to pay the overdue membership fee.

(14) In the event that any other reasonable cause arises that the Association deems inappropriate for membership, or in the event that any reasonable cause arises that the Association deems insecure.


Article 12 (Handling of Member Information)

1 Members shall handle their personal information provided to the Association in accordance with the privacy policy separately stipulated.

2 Members agrees that the Association may publish the member's name (company or organization name) on the Association's website and other publicity materials for publicity purposes. Members who do not wish their names to be included in the publicity materials may withdraw their consent by notifying the Secretariat at the time of joining the Association or after joining the Association in the manner prescribed by the Association. In the event that a member withdraws its consent, the consent given before the withdrawal remains valid and the Association is not obliged to collect the publicity material.


Article 13 (Additions and Changes to the Membership Agreement)

1 The Association may amend this Membership Agreement, in whole or in part, as necessary. In this case, if the amendment is compatible with the general interests of the members, or if the amendment does not contravene the purpose of this Membership Agreement, and if the necessity for the amendment and the content of the amended Membership Agreement are deemed reasonable, the Association may amend this Membership Agreement in advance by making the amended Membership Agreement and the effective date (at least 14 working days later) known on the Association's website.

2 In the event that any amendment to this Agreement does not meet the requirements of the preceding paragraph, a resolution of the General Meeting of Members shall be obtained for the application of the amended Agreement, indicating the part of the amendment.


Article 14 (Exemption from Liability and Indemnification for Damages)

1 The Association shall not be held responsible for any damage caused to a member or a third party as a result of the use of materials or information obtained in connection with the activities of the Association, unless the damage is caused by the Association's willful misconduct or gross negligence.

2 The Association shall not intervene in or become involved in any disputes between members, and shall not be liable for any disputes unless they are caused by the Association's willful misconduct or gross negligence.


Article 15 (Ownership of Intellectual Property Rights, etc.)

1 Even if a member provides materials or information in relation to the activities of the Association, the intellectual property rights (copyrights, patent rights, etc.) for the materials or information are reserved by the member and are not transferred or licensed to the Association or other members.

2 In the event that intellectual property rights are newly generated or transferred in connection with the activities of the Association, such rights shall be stipulated in separate regulations.


Article 16 (Invalidation of Provisions, etc.)

1 If any provision of this Agreement is found by a court of competent jurisdiction to be illegal or invalid, the validity of this Agreement other than such provision shall not be affected.


Article 17 (Jurisdiction and Governing Law)

1 This Agreement shall be governed by the laws of Japan, and in the event that it becomes necessary to file a lawsuit regarding this Agreement, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.


Article 18 (Matters to be discussed)

1 In the event that any dispute arises regarding the contents of this Agreement or any matter not stipulated herein, the parties shall endeavor to resolve such dispute smoothly through consultation in accordance with the principle of good faith.

This Membership Agreement shall take effect on September 22nd, 2021. In the event of any conflict between the Japanese language version of this Agreement and any translation hereof, the Japanese language version shall prevail.
